Do I need an LLC or a registered company to start dropshipping?
Short answer
Not on day one in most countries. Shopify Payments and Stripe will onboard a sole trader or private individual in the US, UK and most of the EU. Register once you clear roughly $2,000 a month, need to reclaim VAT, or want liability separation. What you do need immediately is a real business address, a working contact page and a refund policy — payment providers check those before releasing your first payout.

The short answer, and why it is not the whole answer
You can start without a company in most countries. Shopify does not require one, and Stripe and Shopify Payments onboard sole traders and individuals across the US, UK and most of the EU.
Registering on day one costs money, creates filing obligations, and is a decision made before you know whether the business exists. Roughly four out of five first products fail, and a dissolved company is more work than one you never formed.
What you genuinely need before your first sale
This is the part people skip, and it is the part that gets payouts held:
- A real business address on the contact page. A PO box is usually acceptable; nothing is not.
- A working monitored email address. Not a form that goes nowhere.
- A refund policy stating who pays return shipping and within how many days.
- A shipping policy with the same delivery window as your product page. A contradiction between the two is what turns a refund request into a chargeback.
- A tax identifier for the payment provider — personal is fine in many countries for a sole trader.
Payment providers check these before releasing the first payout. So does Meta when it reviews an ad account.
When to actually register
Around $2,000 a month is the common trigger. At that point:
- Liability separation starts to matter, because you are handling real customer money
- Accounting becomes easier with a separate entity and account
- Some suppliers and agents offer better terms to a registered business
- VAT registration may become mandatory or advantageous depending on your country
Earlier than that, the paperwork usually costs more than it protects.
The country-specific parts we will not guess at
Company forms, VAT thresholds, import duty, IOSS registration and sales tax nexus differ enormously and change often. Anyone giving you a confident universal answer on those is guessing. The two that catch dropshippers first are US sales tax nexus and EU VAT. What is and is not lawful inside the model is in is dropshipping legal.
What is worth doing: one 30-minute conversation with an accountant in your country, before your first $1,000 of revenue. Ask three questions — when must I register, when must I charge VAT or sales tax, and what records do I need to keep from day one. That conversation costs less than one failed product test.
Open a separate bank account in week one
Even as a sole trader, and even before you register anything. Mixing personal and store money is how people lose track of whether they are actually profitable — and the margin maths only works if you can see the numbers cleanly. If you sell into Europe, EU dropshipping VAT is the other obligation that arrives before you feel ready for it.
